These Terms and Conditions ("Terms") govern your access to and use of SpyderBot, an LLM analytics platform operated by SpyderBot Inc., a Delaware corporation ("SpyderBot", "we", "us", or "our").

By accessing or using our website, platform, APIs, or services (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and any applicable Data Processing Addendum (DPA). If you do not agree, you must not use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that entity.

1. Eligibility and Acceptance

You must be at least 18 years old and capable of forming a binding contract under applicable law.

By accessing or using the Services, you:

  • Agree to these Terms
  • Agree to comply with all applicable laws and regulations
  • Represent that the information you provide is accurate and complete

2. Description of Services

SpyderBot is a software platform that analyzes and aggregates outputs from third-party large language models (LLMs), including but not limited to ChatGPT, Gemini, Claude, and similar systems.

The Services provide:

  • LLM mention tracking and brand visibility analytics
  • Competitor analysis across AI-generated responses
  • Website tracking and GEO (Generative Engine Optimization) insights
  • AI citation and sentiment analysis

Important Disclaimer

SpyderBot:

  • Does not generate or control LLM outputs
  • Does not guarantee accuracy, completeness, or reliability of third-party data
  • Provides insights for informational and optimization purposes only

We may modify, suspend, or discontinue any part of the Services at any time without liability.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Maintain the confidentiality of your credentials
  • Be responsible for all activities under your account
  • Notify us immediately of unauthorized access

We reserve the right to suspend or terminate accounts for violations.

4. Acceptable Use

You agree not to:

  • Reverse engineer, copy, or replicate the Services
  • Use the Services to build competing products
  • Access the Services in an automated or abusive manner (except via approved APIs)
  • Use the Services for unlawful, fraudulent, or harmful activities
  • Interfere with system integrity or security

5. API and Data Usage

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for internal business purposes.

User Content

You retain ownership of any data you provide ("User Content"), but grant us a worldwide, royalty-free license to process, analyze, and improve the Services.

7. Subscription, Fees, and Payments

SpyderBot offers subscription-based pricing, including:

  • Free plan
  • Starter ($99/month)
  • Pro ($299/month)
  • Enterprise (custom pricing)

Terms:

  • All fees are in USD unless stated otherwise
  • Payments are processed via third-party providers (e.g., Stripe, PayPal)
  • Fees are non-refundable, except where required by law
  • We may update pricing with 30 days' notice

Failure to pay may result in suspension or termination.

8. Beta Features

We may offer beta or experimental features. These are provided:

  • "As is"
  • Without warranties
  • Without guarantees of availability or performance

We may modify or discontinue beta features at any time.

9. Data and Privacy

Your use of the Services is also governed by our:

LLM-derived data may contain inaccuracies, biases, or inconsistencies. You assume all risks associated with its use.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities
  • Our total liability shall not exceed the amount paid by you in the previous 12 months

13. Indemnification

You agree to indemnify and hold harmless SpyderBot Inc. from any claims, damages, or liabilities arising from your use of the Services, your violation of these Terms, or your violation of applicable laws.

14. Termination

You may cancel your subscription at any time.

We may suspend or terminate your access if you:

  • Violate these Terms
  • Fail to pay fees
  • Create legal or operational risk

Upon termination:

  • Your access ends immediately
  • Data may be deleted after a reasonable period

15. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

You agree to comply with all applicable U.S. export control and sanctions laws. You may not use the Services if you are located in a restricted jurisdiction or are on any U.S. government restricted party list.

18. Changes to Terms

We may update these Terms at any time.

  • Updates will be posted with a revised effective date
  • Continued use constitutes acceptance

19. Entire Agreement

These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and SpyderBot. Enterprise customers may be subject to separate written agreements that override these Terms.
